Terms

The terms that govern an engagement

These terms apply to work commissioned from Smartdatafinance after a written proposal is accepted. The website is an invitation to start a conversation, not an offer to the world. Last updated: 2026.

Scope of services

Smartdatafinance provides analytics, reporting and modelling services. That includes management reporting packs, cash-flow forecasts, budgets and reforecasts, financial models, dashboards and pipelines, profitability and working-capital analytics, chart-of-accounts clean-up, and training so an in-house team can run the layer. The written proposal names the artefacts, the entities, the systems and the dates. Work outside that page is a variation and is quoted before it starts.

Full disclaimer

Smartdatafinance provides analytics, reporting and modelling services. We do not provide audit, tax, legal or licensed financial advisory services, and nothing on this site is a recommendation to buy or sell any instrument. We do not replace a bookkeeper or a statutory accountant. We do not file returns. Nothing we produce is an audit opinion, a valuation, or advice to raise, buy, sell or hold any security or other instrument. Directors remain responsible for the decisions they take. If a request needs a licence we do not hold, we will say so and we will not perform that part of the request.

Quotations and indicative figures

Fees published on the engagements page are indicative. They assume a Singapore-based group, a mainstream accounting system and data that can be extracted without a forensic exercise. The fee that governs an engagement is the fee in the written proposal. If the diagnostic finds a larger data problem than the first call suggested, we will re-quote the build before we start it. Figures in Singapore dollars exclude any tax that a later invoice may have to show; we do not publish registration numbers on this site.

Fees, invoicing and payment

Retainers are invoiced monthly in arrears. Builds are invoiced 50 per cent on instruction and 50 per cent on delivery of the agreed artefacts, after a live month has been run where the proposal requires it. Project work follows the same 50/50 pattern unless the proposal says otherwise. Payment terms are 14 days from the invoice date. Work may pause after a written reminder if an invoice is overdue. Reasonable expenses, if any, are agreed in writing first.

Intellectual property

On payment of the invoice that covers a deliverable, ownership of that deliverable passes to you: pack templates, models, dashboards, mapping files and the handover note. You may copy and adapt them inside your group. We retain ownership of our working methods, sentence libraries and generic tools that were not created for you. We may reuse an anonymised method on later work. We do not reuse your figures, customer names or identifying structure. We do not lock files behind a product licence.

Confidentiality and access

Each party will keep the other’s non-public information confidential and use it only to perform the engagement, unless the law requires disclosure. We sign a non-disclosure agreement before we see ledgers or forecasts when you ask for one, and we treat the proposal as confidential in any case. Access is through systems you own. We take the least privilege that still lets us do the work, and we give it back when the engagement ends. We do not keep a private archive of client ledgers.

Liability and governing law

We perform the work with reasonable care and skill. Our total liability to you for a given engagement is limited to the fees you have paid for that engagement in the twelve months before the claim, except where the law of Singapore does not allow a limit. We are not liable for loss of profit, loss of data that remains in systems you control, or indirect loss. Nothing in these terms limits liability for fraud or for death or personal injury caused by negligence.

These terms, and any engagement under them, are governed by the law of Singapore. The courts of Singapore have exclusive jurisdiction, except that we may seek interim relief in another forum if your group holds assets there. If a part of these terms is unenforceable, the rest continues. Last updated: 2026.
